HERstory Billboard Experience Participant Agreement

Participant Agreement *

I understand that this Participant Agreement (“Agreement”) is entered into by and between HERStory / Possible Woman, LLC (“Organizer”) and the undersigned participant (“Participant”) regarding participation in the HERStory Billboard Experience (“Program”). By signing this Agreement, Participant acknowledges that they have read, understood, and agreed to all terms outlined below.

Participant Agreement

1. Program Overview & Participation *

I understand that HERstory Unveiled is an annual experience produced by Possible Woman in which female entrepreneurs, authors, and leaders are featured on a New York Times Square digital billboard, photographed by a professional portrait photographer, and interviewed for broadcast on global streaming platforms including BeSpireTV, Roku, Amazon Fire, and the Possible Woman Channel. I understand that I must be at least 18 years of age and meet all eligibility requirements established by Organizer to participate. I understand that participation in the Program's in-person elements — including the Times Square billboard experience and photoshoot — is encouraged but not required. I understand that if I am unable to attend in person, Organizer will provide available digital assets and marketing materials associated with the Program and that any promised interviews will be conducted via Zoom or, at my election, I may fly in at a later date to be interviewed in person, and that all interviews must be completed within 60 days of the original event date, and that failure to complete my interview within that window may result in forfeiture of that deliverable. I understand that I may forfeit portions of the live experience and certain in-person opportunities if I do not attend, and that Organizer's obligations with respect to in-person deliverables beyond the interview accommodation are not transferable to a future date unless otherwise agreed upon in writing. I understand that I am expected to conduct myself professionally, respectfully, and in alignment with the values and integrity of the HERstory Unveiled brand and Possible Woman throughout all Program activities, communications, and interactions.

2. Program Scheduling & Event Policies *

I understand that HERstory Unveiled is a single-day, time-sensitive event coordinated with third-party billboard companies, production teams, and photographers, and that the following scheduling policies apply. I understand that final photoshoot times and event schedules will be provided no later than the evening before the scheduled session, and that no deviations or schedule changes will be permitted once times have been assigned, as adjustments affect the entire production schedule. I understand that I may capture personal content outside of scheduled activities; however, additional photography, personal activities, or content creation may not interfere with the official Program schedule, production flow, team operations, or other participants' experiences, and that any such interference may result in forfeiture of my assigned photoshoot time without refund. I understand that if I am unable to attend in person, I will receive available digital Program materials and marketing assets associated with my participation tier.

Program Scheduling & Event Policies

3. Code of Conduct *

I understand that HERstory Unveiled is committed to creating a supportive, empowering, collaborative, and professional environment for all participants, and that I am expected to uphold the following standards throughout the duration of the Program. I understand that I may not engage in disruptive, disrespectful, hostile, negative, harassing, bullying, gossiping, or disparaging behavior toward Organizer, sponsors, vendors, team members, photographers, or fellow participants. I understand that any feedback, suggestions, or requests must relate solely to my own experience, materials, photos, or deliverables, and may not include critiques, commentary, opinions, or feedback regarding other participants, their businesses, branding, photos, messaging, or experiences. I understand that HERstory Unveiled features multiple participants and that the experience is designed to elevate every woman present — not compare or compete. I understand that Organizer reserves the right to remove me from the Program, without refund, for behavior deemed disruptive, inappropriate, unprofessional, or harmful to the Program, community, other participants, or the HERstory Unveiled and Possible Woman brands.

Code of Conduct

4. Photography, Media & Photo Release *

I understand that HERstory Unveiled is a single-event, one-time photoshoot experience and that Organizer has full discretion over the use of all photography, video, and media captured and secured by Possible Woman during the Program. I understand that I am granting HERstory Unveiled / Possible Woman and its affiliates, photographers, videographers, media partners, sponsors, vendors, and contractors permission to photograph, videotape, record, and capture my likeness, image, voice, and related content during Program participation. I understand that all images secured by Possible Woman through the Program are the sole property of Possible Woman; however, I am granted full permission to use those images for any promotional purposes, including but not limited to advertising, websites, marketing campaigns, social media, and editorial features, without restriction. I understand that any images I purchase directly through the photographer are my sole property; however, by purchasing those images I am granting Possible Woman and its affiliates a perpetual, worldwide, royalty-free license to use those images for advertising, marketing, websites, social media, editorial features, magazine publication, and future HERstory Unveiled-related promotional purposes at Organizer's sole discretion. I understand that no additional compensation is owed for such usage, that Organizer may edit, publish, distribute, or reuse materials as deemed appropriate, and that I waive the right to inspect or approve final materials prior to use.

Photography, Media & Photo Release

5. Use of Materials & Intellectual Property *

I understand that I retain ownership of my original content, branding, and business materials submitted to Organizer, and that by participating I am granting Organizer a non-exclusive, perpetual, worldwide, royalty-free license to use my name, likeness, business name, logo, submitted content, testimonials, and billboard materials for promotional, editorial, educational, marketing, social media, advertising, website, and future HERstory Unveiled-related purposes. I understand that I may not reproduce, distribute, share, sell, or transfer any proprietary Program materials provided by Organizer — including templates, guides, playbooks, marketing kits, or training materials — without prior written permission from Organizer.

Use of Materials & Intellectual Property

6. Payment, Fees & Refund Policy *

I understand that I am required to pay all Program fees according to the payment schedule provided by Organizer, and that all Program payments are non-refundable unless otherwise agreed in writing by Organizer. I understand that optional upgrades, add-ons, VIP experiences, magazine features, photography packages, visibility packages, or additional services may be invoiced separately and are subject to the same non-refundable payment policy. I understand that if I fail to attend the event in person, my fees are forfeited unless Organizer has separately agreed in writing to an accommodation. I understand that I am responsible for all fees associated with my selected participation package — The Luxe Experience, The Legacy Feature, or The Author's Spotlight — as communicated at the time of enrollment.

7. Travel, Lodging & Insurance *

I understand that I am solely responsible for arranging and covering all travel-related expenses associated with attending the New York Times Square event, including airfare, transportation, lodging, meals, parking, and incidentals. I understand that Organizer strongly recommends I obtain travel insurance to protect against cancellations, delays, medical emergencies, weather disruptions, or other unforeseen circumstances. I understand that as a courtesy, Organizer may share third-party travel insurance resources, including Blue Cross Blue Shield Global Solutions Travel Insurance (https://bcbsglobalsolutions.com/individuals-and-families), and that use of any provider is optional and at my sole discretion. I understand that Organizer is not responsible for the services, policies, claims, coverage, or actions of any third-party insurance provider, and is not liable for any travel disruptions, missed flights, transportation delays, or accommodation issues that result in my inability to attend or participate fully in any scheduled event activities.

8. Medical Disclaimer & Liability Waiver *

I understand that Organizer is not a medical provider and does not provide medical care, treatment, or emergency services. I understand that I am affirming I am physically capable of participating in all Program activities, which may include walking, standing for extended periods, outdoor activities in Times Square, photoshoot participation, and engagement at public venues in New York City. I understand that I am voluntarily assuming all risks associated with participation, including but not limited to risks related to travel, weather, public venues, crowd environments, and physical activity, and that I am authorizing Organizer to seek emergency medical assistance on my behalf if deemed necessary, with the understanding that I am responsible for any and all associated costs. I understand that I am releasing and holding harmless Organizer, Possible Woman, its affiliates, sponsors, vendors, contractors, venues, photographers, billboard companies, media partners, and representatives from any claims, damages, injuries, losses, or liabilities arising from or in connection with my participation in the Program, to the fullest extent permitted by law.

9. Sponsors, Vendors & Third Parties *

I understand that Organizer may collaborate with third-party sponsors, vendors, venues, billboard companies, media partners, photographers, streaming platforms, and service providers in connection with the Program, which may include without limitation BeSpireTV, the Times Square billboard operator, Tuan Bui Photography, and Possible Woman partners. I understand that Organizer is not responsible for the actions, services, availability, quality, or conduct of any third party, and that any purchases, agreements, or interactions between myself and third parties are solely between those parties.

Sponsors, Vendors & Third Parties

10. Program Deliverables & Limitations *

I understand that Organizer will make commercially reasonable efforts to deliver the Program inclusions associated with my selected package, and that Organizer does not guarantee specific business growth, financial results, media coverage, publicity reach, social media growth, collaborations, speaking opportunities, client acquisition, or any particular outcome as a result of my participation. I understand that results vary based on individual effort, market conditions, and external factors outside Organizer's control, and that Organizer is not responsible for delays, changes, cancellations, or interruptions caused by circumstances beyond its control, including but not limited to weather, Acts of God, force majeure events, vendor cancellations, or governmental restrictions. I understand that in the event a specific deliverable cannot be fulfilled due to circumstances beyond Organizer's control, Organizer will make commercially reasonable efforts to offer a comparable substitute or accommodation.

11. Privacy & Data Use

I understand that Organizer may use my submitted information, images, testimonials, and materials for Program administration, communication, marketing, and promotional purposes, consistent with this Agreement and Organizer's Privacy Policy available at possiblewomanmagazine.com. I understand that Organizer will not intentionally sell my private personal information to unrelated third parties, and that Organizer may share my information with Program partners — such as media platforms, sponsors, and printers — solely as needed to fulfill Program deliverables.

12. Social Media & Public Conduct *

I understand that participation in HERstory Unveiled is a public-facing experience and that I may be photographed, recorded, or featured in Times Square and throughout New York City in connection with the Program. I understand that I may not post, publish, or share any content related to the Program that is disparaging, defamatory, or harmful to Organizer, fellow participants, sponsors, vendors, or the HERstory Unveiled or Possible Woman brands, and that I may not publish or share proprietary Program materials — including guides, kits, templates, or scripts — without prior written permission. I understand that I am expected to represent the experience honestly and in accordance with the professional and empowering spirit of HERstory Unveiled, and that when sharing content about my experience on social media I am encouraged, though not required, to tag @possiblewomanmagazine and use the hashtag #HERstoryUnveiled.

Social Media & Public Conduct

13. Termination *

I understand that Organizer reserves the right to terminate my involvement in the Program, without refund, for violation of this Agreement, disruptive conduct, harassment, damage to the HERstory Unveiled brand or community, or inappropriate or unprofessional behavior. I understand that termination does not revoke Organizer's rights to previously captured media or authorized promotional usage as outlined in the Photography and Intellectual Property sections of this Agreement.

14. Dispute Resolution *

I understand that in the event of a dispute arising out of or related to this Agreement, the parties will first attempt resolution through good-faith negotiation, and that if negotiation is unsuccessful, the parties agree to submit the dispute to non-binding mediation before pursuing any other legal remedy. I understand that this Agreement shall be governed by and interpreted under the laws of the State of Colorado, without regard to conflict of law principles.

15. Governing Law & Venue *

I understand that this Agreement shall be governed by and interpreted under the laws of the State of Colorado, and that any legal proceedings arising under this Agreement shall be brought exclusively in the state or federal courts located in Colorado, to whose personal jurisdiction I hereby consent.

16. Entire Agreement & Severability *

I understand that this Agreement constitutes the complete and exclusive understanding between myself and Organizer regarding the subject matter herein and supersedes all prior communications, representations, or agreements, whether written or oral. I understand that if any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Participant Consent & Acknowledgment *

I understand that by checking this box I am acknowledging that I have carefully read, fully understand, and voluntarily agree to all terms of this Agreement, including all Program policies, scheduling requirements, payment terms, media and photo usage permissions, liability waivers, travel responsibilities, and code of conduct expectations. I understand that Program fees are non-refundable unless otherwise agreed in writing, that photoshoot and event scheduling is fixed and cannot be adjusted once assigned, that participation involves inherent risks which I voluntarily assume, that Organizer has full editorial discretion to use photos, videos, and media captured during the Program for promotional and marketing purposes in perpetuity, that travel expenses are my sole responsibility and travel insurance is strongly recommended, and that Organizer reserves the right to remove me from the Program for disruptive, inappropriate, or harmful behavior without refund. I understand that I am at least 18 years of age, that I have had the opportunity to review this Agreement, and that I am entering into it freely and voluntarily.
